3. Service Description and License

The Good Inspectors provides a cloud-based license management platform that allows you to manage, track, and control software licenses for your organization. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

This license does not include any rights to:

  • Resell, lease, or sublicense the Service to third parties
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Copy, modify, or create derivative works based on the Service
  • Remove or alter any proprietary notices or labels from the Service

4. Subscriptions and Billing

The Service is offered on a subscription basis. By subscribing, you agree to pay all applicable fees as described in your selected plan. Key billing terms include:

  • Payment: All fees are due in advance based on your chosen billing cycle (monthly or annually)
  • Pro-rata Billing: If you add or remove seats during a billing period, charges will be calculated on a pro-rata basis
  • Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date
  • Price Changes: We may modify our pricing with 30 days' notice to existing subscribers
  • Refunds: Fees are non-refundable except as required by law or as explicitly stated in your subscription plan

Failure to pay fees may result in suspension or termination of your access to the Service.

5. User Conduct and Prohibited Activities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations

8. Service Availability and Support

We strive to provide reliable and uninterrupted access to the Service, but we do not guarantee that the Service will be available at all times. The Service may be subject to:

  • Emergency maintenance to address security or technical issues
  • Temporary interruptions due to factors beyond our reasonable control

Support is provided according to your subscription plan. We will make commercially reasonable efforts to respond to support requests in a timely manner.

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, completeness, or reliability of any content

You assume all risk for any damage that may result from your use of or access to the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GOOD INSPECTORS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or use
  • Business interruption
  • Loss of goodwill
  • Any other intangible losses

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Good Inspectors and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your Customer Data.

12. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if:

  • You violate these Terms
  • Your use of the Service poses a security risk
  • You fail to pay applicable fees
  • We are required to do so by law

Upon termination, your right to use the Service will immediately cease. We will make Customer Data available for export for a limited time period following termination, after which it may be deleted.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which The Good Inspectors is registered, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and The Good Inspectors regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
